The fourth edition of the standard treatise on cross-border M&A transactions has recently been published. Editor is Prof. Dr. Stephan R. Göthel, LL.M. (Cornell), founding partner of the law firm Pier 11 and professor of company law at BSP Business School Berlin. Dr. Oliver Rossbach, also founding partner of Pier 11, is one of the co-authors.

Ever since the first edition, the treatise is one of the essential works of reference for business lawyers and in-house counsels with an international focus. Cross-border M&A transactions are of major importance in Germany. Even experienced lawyers are faced with a lot of questions and alternative deal structures. Further, culture differences and its implications need to be considered. The established treatise examines these topics and has been completely revised and extended. Particularly, a chapter on acquisition finance has been added, and all chapters have been supplemented by tax explanations.

The publication covers, among others, the following topics:

  • Cross-border mergers and acquisitions (procedure and contractual practice, private international law and procedural law, acquisition of listed companies, employment law, antitrust law, finance acquisition, tax law)
  • Cross-border restructurings (restructuring measures, employment law, antitrust law, tax law)
  • Cross-border joint ventures
  • European companies (in particular SE)
